Terms of Service

1. THESE TERMS OF SERVICE AS A BINDING AGREEMENT

a. The Site offers to you the Content within and the Services subject to the following Terms of Service, the Privacy Policy and any other guidelines and rules as detailed throughout the Site (together hereunder - "ToS").

b. The Site may, at its sole discretion, modify these ToS or any part thereof from time to time. In such a case, the Site will post notice of the changes on the top of this page and will indicate the date these ToS were last revised. You agree to be bound to any changes to these ToS when you use the Site or any part thereof after any such modification is posted.Therefore it is important and you are kindly asked to review these ToS regularly to ensure you are updated as to any changes that may apply to you.

c. If at any time you do not agree to abide by the current ToS, do not use or access (or continue to use or access) the Site and any part thereof. Any continued use shall constitute acceptance of the ToS as amended.

2. SERVICES AND CONTENT SUPPLIED BY THE SITE

a. Subject to these ToS and any other terms and conditions appearing on the Site, the Site offers various services, features and contents, such as sports community and personal predictions, sports contents (such as video clips, articles, images, graphs etc.), users' tournaments and competitions, statistical reviews of various kinds and other features as may be (the "Services" and "Content" as applicable.

b. The Site may change, amend, add, suspend or discontinue any of the Services or Content offered at or by the Site at any time, at its sole discretion without prior notice, including the availability of any feature, database, or Content, impose limits on certain features and services for any or all users or restrict the access to parts or the entire Site or any part thereof without notice or liability.

c. Any part of the Site or any service may require payment of certain fees. The Site may charge payment for any such service even if such Service was supplied for free. You shall pay all applicable fees, as described on the Site in connection with any such Services selected. The Site reserves the right to change its price list and fees and to institute new charges at any time, cancel any such fees for any Service or affect any other change in the Services and fees paid for them, all without prior notice. You will not be billed for any payment unless you gave your consent for such payment, but you may not be allowed any such Service if you choose not to pay the fee or amended fee required by the Site. Use of any part of the Site or any Service upon notification that the use requires payment to the Site, constitutes your acceptance of any new, increased or otherwise amended charges and fees.

d. If the Site shall terminate your account because any breach of these ToS, the law or any for any other reason at its sole discretion, the Site may, but in under no obligation to, refund any unused portion of subscription or other fees and may not return any such fees.

e. Under various functionalities of the Site, Services and Contents you may be exposed in any manner to certain Content and Services from the Site, and any such use is limited to a single personal computing device for private, non-commercial and personal use only. You may not make any commercial use of the Site or any part thereof.

f. The Site aggregates public and personal opinions and offers them as raw data or any statistical analysis thereof. The data represented, whether as raw data or any statistical analysis thereof, may be inaccurate, not correct and are just the collective guess or prediction of the Site's users. Please regard them as such and do not attach any other significance thereto.

g. Should the Site hold a contest or other manner of granting its users prizes of any kind, the rules of each contest shall be detailed in pages relevant to said contest and shall be considered as part of these ToS.

3. ACCESS TO THE SITE AND ANY PART THEREOF

a. You are responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access the Site or otherwise use the Site or any part thereof including, without limitation, modems, hardware, software, ISP or any other connection service. You are responsible for ensuring that such equipment or ancillary services are compatible with the Site.

b. You must be at least 18 years old to register to the Site and win any prize, if such prize is offered through the Site and any part hereto. If you are under 18 years of age, you are not permitted to use the site, the Services, review any Content or win any prize.

4. REGISTRATION AND YOUR INFORMATUION

a. Certain services and Content may require you to register to the Site and submit certain information as a condition to using the Site or any part thereto. If you do not wish to submit such information please do not register. Your registration is regarded as agreement to the Site’s ToS and to the submission of any such information in accordance with our Privacy Policy.

b. Upon registration you shall be asked to choose a user-name, a password and to supply a valid and active email address and also private and surname (optional), date of birth and country. Only the user name, your country, your performance history on the Site, your "rank" among our users and such information shall be made public on the Site and the Services.

c. The Site shall never make your password public and never request for your password by email or by any other way, except as logging in to the site or any of the Services.

d. You agree to provide true, accurate, current and complete information about yourself as requested in connection with the provision of and/or registration for any part of the Site.

e. If you provide any information that is untrue, inaccurate, not current, or incomplete, or the Site has reason to suspect that such information is untrue, inaccurate, not current, or incomplete, the Site may, but does not have to, suspend or terminate your account and/or refuse any and all current or future use of the services or supply of Content.

f. You may not select or use a user-name of another person with the intent to impersonate that person, harm any third party or use as a user-name which subject to any rights of a third party other than yourself without appropriate authorization.

g. You are not allowed to have more than one active account or open and/or use fictitious accounts. Additionally, you are prohibited from selling, trading, or otherwise transferring your account to anyone else. The Site reserves the right to terminate any account it may suspect breaching this term, without notice to you.

h. Upon registration you will choose a password for use of the Site or any part thereof. You are specifically responsible for maintaining the confidentiality of the password, and for all activities that occur under your password or in your account. The site cannot and will not be liable for any loss or damage arising from your failure to keep your account and password confidential or any authorized or unauthorized use of your account.

i. If you suspect unauthorized use of your account, you are to notify the Site immediately, supply the Site with enough information to found your suspicion and to change your password immediately.

5. USERS’ CONDUCT

The following is a non inclusive list of the kinds of Content and/or conduct that are prohibited on the Site and any part thereof. Such prohibition includes any Content or conduct that is:

1. access or use of the Site or any part thereof (including any of the Services or Content) by any means other than through the interface that is provided by the Site itself for such activity.

2. interfere with or disrupt the Site or any part thereof, including any servers or networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site or any part thereof;

3. intentionally biasing or damaging any odds, bets, predictions or other data which appears on the Site or any part thereof;

4. any and all activity which in any way exposes the Site or anyone on its behalf to legal or other liability or expenses, harms the Site, anyone on its behalf or any third party or any other offensive or prohibited activity and Content as to the sole discretion of the Site.

5. furthers or promotes any criminal conduct or misconduct, provides instructional information about illegal activities of any kind, breaches any law, ordinance or regulation or promotes such breach;

6. breaches or infringes in any way any third party right, including but not limited to intellectual property (such as copyright, trademark, patent or other right), proprietary, private or confidential information;

7. offensive or may promote racism, hatred or harm of any kind against any group or individual;

8. offensive, promotes violence, harms or intends to harm any third party, discriminatory, tortious, defamatory, vulgar, obscene, libelous, invasive of anyone's privacy, harassing, stalking or otherwise is objectionable;

9. solicits passwords or other personal information (such as addresses, social security numbers, etc.) from other users or attempting to impersonate another person;

10. using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;

11. selling or otherwise transferring your account;

12. providing telephone numbers, street addresses, last names, URLs, email addresses or any other personal information of any other person without said person's consent;

13. copying, harvesting, collecting, operating a "spider" or other "bot" or using, either automatically or manually, any data and statistics offered on the Site, including data, email addresses, etc..

14. uploading, posting, emailing, transmitting or otherwise making available any unsolicited advertising, promotional materials, “junk mail”, “spam”, “chain letters”, “pyramid schemes” or any other form of solicitation.

15. covering or obscuring any advertisements from the Site or deed-linking or "framing" the Site in such a way that hides or obscure any advertisement, banner or other link thereof, by any means;

16. any automated or non-private use of the Site and Services;

17. interfering with, disrupting, or creating an undue burden on the Site or Services or the networks, servers or services connected to the Site;

18. uploading, posting, emailing or otherwise transmitting any material that contains spyware, adware, viruses, "worms", any other computer code, files or any kind of mal-ware or programs designed to interrupt, destroy or limit the functionality of the Site or its code or telecommunication means;

6. USER CONTENT

a. With respect to any content, information, data, predictions, odds, betting percentages, betting systems, picks, posts, texts, graphics, photographs, images, logos, ideas, concepts, know-how, techniques, suggestions or improvements or other Content that you transmit, submit, post or upload to the Site and/or in connection with the Site or any part thereof (each, "User Content"), you are, by acting in such a manner, granting the Site and a perpetual, royalty-free, sub-licensable, assignable, non-exclusive, worldwide and irrevocable right and license to use, reproduce, modify, publish, translate, prepare derivative works based upon, use for any statistical or other purpose and distribute such User Content for any purpose and in any form or media and same license to use any of your predictions and other public User Content you create or submit to the Site in various manners (for example – by "laddering" you with other users, indicating your predictions and its accuracy, create certain wagering rates or other statistical date, etc.). This license is granted automatically by your activity and no payment of any kind will be due to you.

b. Please choose carefully any User Content you post on or to the Site or any part thereof,. Do not post any User Content you do not wish to make public or which is not in accordance to these ToS or to any law applicable.

c. The Site may delete, edit, amend, add to or change in any way any User Content whatsoever, including but not limited to any Content that, in the sole judgment of the Site, violates these ToS or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any third party.

d. The Site does not assume any responsibility for any User Content or for any damage or harm it may cause in any way or for monitoring any such Content. Any Content anywhere on the Site and on the Services may include inaccurate, inappropriate, explicit, libel or otherwise offensive information. Please make use of the "Report Content" link at the bottom of the Site's pages and note the reason for your report, so we can attend your notification as efficiently as possible.

e. The Site reserves the right, in its sole discretion, to reject, refuse or remove any User Content from the Site any part thereof (including private User Content) or to restrict, suspend, or terminate any user's access to all or any part of the Site at any time, for any or no reason, with or without prior notice, and without liability.

f. The Site may monitor or review User Content from time to time, it is undertakes no obligation to do so, does not assume any liability or responsibility with respect to any User Content (whether reviewed or not) and it is by no means any waiver of any of the Site’s rights, including User Content that may contain errors, defamatory Content, pornography, profanity, inaccuracies or other offensive Content. If you locate such User Content, please let us know and we will look into the matter soonest.

g. The Site reserves the right to investigate and take appropriate legal action against anyone who, in the Site's sole discretion, violates these ToS, including without limitation, removing the offending User Content from the Site and any part thereof without notice.

7. TERMINATION

a. You agree that the Site, in its sole discretion, may terminate your account or use of the Site or any part thereof (including any Service), and may (but does not have to) remove and discard any User Content you may post or create, for any reason, with or without notice.

b. The Site may also in its sole discretion and at any time discontinue providing the Site or any part thereof, with or without notice and you will have no claim against the Site whatsoever.

c. You agree that any termination of your access to the Site or any part thereof may be effected without prior notice, and acknowledge and agree that the Site may immediately deactivate or delete your account and all related information and files, date or predictions corresponding to your account or bar any further access from you, for any reason or for no reason at all.

8. THIRD PARTIES’ CONTENT

The Site or any part thereof may, from time to time, provide users with third parties Content such as advertisement, banners, odds, betting chances, quotes, data, etc. Any connection or business dealings with, or participation in promotions of, any such party (such as advertisers and vendors), including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you, the user, and such third parties. You agree that the Site shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers or vendors on the Website or in connection with the Services.

9. LINKING

The Site may provide, or third parties may provide, either through advertisements or in any other manner, links to other Internet sites and resources. The Site has no control over such sites and resources, so you acknowledge and agree that the Site is not responsible for the availability of such external sites or resources, their contents and any action or default they may take. The Site does not endorse such sites and resources and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources.

You further acknowledge and agree that the Site shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

10. PROPRIETARY AND INTELLECTUAL PROPERTY RIGHTS

a. The Site and all parts thereof are the property of the owners of the Site or licensed to them and you are prohibited from making any use of any part, data or work thereof without the prior written consent of the Site.

b. The Site and every query report created by it are protected by copyright as a collection work and/or compilation and/or other works (such as database rights, etc.), pursuant to national copyright laws and international conventions.

c. You specifically acknowledge and agree that any code used in connection with the Site or any part thereof (the "Code") contains proprietary and confidential information that is protected by applicable intellectual property and other laws and are either owned by or licensed to the Site.

d. You may not modify, reproduce, transmit, participate in the transfer or sale of, reproduce, copy, create derivative works based on, distribute, perform, display, publish, republish, make available to the public, frame, post, sell, broadcast or in any way exploit, any of the Content, Code, materials, the Site or Services in whole or in part.

e. You may use information and User Content gathered on the Site (such as data sheets, predictions, betting odds and similar materials) purposely made available by the Site for users to use (and only such Content), provided that you (1) do not remove any proprietary notice language in all copies of such documents or data, (2) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) not make any additional representations or warranties relating to such documents.

f. The Site respects any and all rights of third parties, including intellectual property rights. The Site hereby prohibits anyone from uploading, posting or otherwise transmitting on the Site or any part thereof any materials that violate third parties rights or any law.

g. The responsibility for any User Content posted shall be born solely by the user posting such Content. The Site shall have no responsibility whatsoever regarding such User Content.

h. By posting any User Content you undertake and warrant, that you own all rights in the User Content or hold the right to grant the Site license as set in these ToS and that granting such license does not breach any law or third party right.

i. If you believe that your work has been misappropriated, copied and/or posted on the Site, in a way that constitutes copyright infringement, please provide our Copyright with the following information:

(i)a description of the copyrighted work that you claim has been infringed;
(ii)a description of where the material that you claim is infringing is located on the Site or the Services;
(iii)your contact details, including address, telephone number, and email address;
(iv)a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
(v)another written statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
(vi)an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

11. DISCLAIMER OF WARRANTIES

a. The Site is provided on an "AS-IS" basis and makes no express or implied representations or warranties of any kind, as to the operation of the Site, the Content, the Services and any part thereof, including but not limited to information, data, predictions, materials, or other products.

b. You understand that any prediction of sporting or other future events is uncertain and involves risk of it being wrong. Any reliance on the data, Services or Contents presented by or at the Site is made at your own risk; the Site will not be liable for any consequence of your decision rely on any such data.

c. To the fullest extent permissible by applicable law, the Site disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. The Site will not be liable for any damages of any kind resulting from the use of this Site or any part thereof, including but not limited to direct, indirect, incidental punitive and consequential damages.

d. YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

A) THE USE OF THE SITE OR ANY PART THEREOF IS AT YOUR SOLE RISK AND RESPONSIBILITY. THE SITE AND ANY PART THEREOF IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SITE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

B) THE SITE MAKES NO WARRANTY THAT (i) THE SITE OR ANY PART THEREOF WILL MEET YOUR REQUIREMENTS, (ii) THE SITE OR ANY PART THEREOF WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM YOUR USE OF THE SITE OR ANY PART THEREOF WILL BE ACCURATE, RELIABLE, OR UP-TO-DATE (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, CONTENT (INCLUDING BUT NOT LIMITED TO CERTAIN STATISTIC AND NON STATISTIC DATA) OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE OR ANY PART THEREOF WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE CODE OPERATING ON THE SITE OR THE DATA STORED OR PRESENTED BY IT OR ANY PART THEREOF WILL BE CORRECTED.

C) ANY MATERIAL DOWNLOADED, VIEWED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE OR ANY PART THEREOF IS AT YOUR OWN DISCRETION AND YOURE SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE (TO YOU, TO THIRD PARTIES OR TO COMPUTER SYSTEMS) OR LOSS OF DATA OR WRONG RESULT THAT RESULTS FROM THE USE OF ANY SUCH MATERIAL.

D) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SITE OR THROUGH OR FROM ANY PART THEREOF SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TOS.

e. The Site has no special relationship with or fiduciary duty to you or any of its users. You acknowledge that the Site has no control over, and no duty to take any action regarding: which users gain access to the Site or any part thereto; what Content users may access via the Site or any part thereto; what effects the Content or Services may have on you; how you may interpret or use the Content or services; or what actions you may take as a result of having been exposed to the Content or Services.

f. The Site makes no guaranty of confidentiality or privacy of any communication or information transmitted on or through the Site or any web site linked to the Site. The Site will not be liable for the privacy of email addresses, registration and identification information, disk space, communications, confidential or trade-secret information, or any other Content stored on the Site’s equipment, transmitted over networks accessed by the Site, or otherwise connected with your use of the Services.

12. LIMITATION OF LIABILITY AND INDEMNIFICATION

a. YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE SITE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR ANY OTHER KIND OF DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF THE SITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SITE OR ANY PART THEREOF; (ii) ANY RELIANCE ON THE SITE OR ANY PART THEREOF OR ANY DATA INCLUDED WITHIN; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOURS OR OTHERS’ TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE OR ANY PART THEREOF;(v) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR (vi) ANY OTHER MATTER RELATING TO THE SITE OR ANY PART THEREOF.

b. As the Internet is accessible world-wide and the Site may not have control over the country each user is located within, it is clearly stated that you may only use the Site or any part thereof if it is in fact legal for you to do so as determined by the laws of the country, state or territory in which you live and/or access the Site (the “Local Jurisdiction”). The Site does not make any representation or warrantee about the legality of the Site or any part thereof and do not intend that anyone should access it or use any of the Services or Content where such access or use is prohibited by applicable law of Local Jurisdiction. The availability of the Site or any part thereof does not constitute an offer or invitation to access it from any Local Jurisdiction in which such access is prohibited by applicable law. Your access to the Site or any part thereof is void and prohibited wherever prohibited by any applicable law applying to you, the user.

c. You accept sole responsibility for determining whether your access to the Site or any part thereof is legal in your Local Jurisdiction. If your use of the Site or any part thereof is prohibited by law in the Local Jurisdiction, you will not be entitled to collect any winnings that may be prohibited by law and the Site reserves the right to 1) cancel your account without notice and 2) void all transactions and activities you have made.

d. Past performance is not indicative of future performance, predictions are just that and the future is impossible to predict. The Site does not guarantee that the trends and biases found within shall in any way reflect in actual occurrences and sporting events or manifest them in any other way but on the Site.

e. You agree to indemnify, defend and hold the Site, its directors, owners, operators, other officials, partners, partnerships, principals, employees, affiliates, affiliated companies and other related entities, agents, representatives, successors and assigns from and against any claim or demand, including reasonable attorneys' fees, arising out of User Content you post to, submit or transmit through the site and any part thereof, your use of the site and any part thereof, your connection to the site and any part thereof, violation of these ToS, or violation of any law or rights of third parties.

f. SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS ABOVE MAY NOT APPLY TO YOU. IF THIS IS THE CASE, THE SECTIONS ABOVE SHALL NOT APPLY ONLY TO THE MUNUMAL EXTENT REQUIRED BY LAW, AND ANY AND ALL APPLICATION AND INTERPRETATION OF THESE TOS SHALL BE AS CLOSE AS POSSIBLE TO THE LANGUAGE ACTUALLY USED ABOVE

13. NO FRAMING OR DEEP LINKING

You may not "frame", publish, make available to the public, deep link, show any part of the Site as embedded or included in other way in any other site or use in any other way any part of the Site. All links to the Site must be to www.hunchers.com, the Site’s home page.

14. MISCELENEOUS

a. Notices to you may be made via either email, regular mail or the private messaging services on the Site.

b. These TOS constitute the entire agreement between you and the Site and governs your use of the Site or any part thereof, superseding any prior agreements between you and the Site.

c. These ToS and anything related to the Site or to your relationship with the Site shall be governed by the laws of Israel, without regard to its conflict of law provisions, and subject to the exclusive jurisdiction of the courts located within the country of Israel, at the Tel Aviv district.

d. The failure of the Site or anyone on its behalf to exercise or enforce any right or provision of these ToS shall not constitute a waiver of such right or provision.

e. If any provision of these ToS is found by any court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should give effect to the parties' intentions as reflected in the relevant provision as closely as possible, and the other provisions of these ToS shall remain in full force and effect.

f. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or any part thereof must be filed within two (2) years after such claim or cause of action arose or be forever barred and limited.

g. The section titles in these ToS are for convenience sake only and have no legal or contractual effect.

h. The Site or its owner may sell, transfer, or create any disposition with the Site or its activity, subject to receiver of the Site or activity undertaking the same undertakings as the Site and owner took under these ToS.
